Aufgabenbereich:

As an experienced Assistant company Secretary you will be working in a small, but dynamic team environment reporting to the department Company Secretary and General Counsel. Assistant Company Secretarial Duties will include: Ensure accurate and timely record keeping of Board activities including maintaining all statutory registers for the company and its subsidiaries. Apply a thorough understanding of the Companies Act 2006 and the UK Corporate Governance Code 2010 to ensure all Companies House and other regulatory and associated filings and reporting obligations are diarised and met. Gain an understanding of the Data Protection Act and other legislation governing the management and disclosure of information to assist the General Counsel & Company Secretary to ensure company compliance. Arrange board meetings and AGM and Member meetings, issuing notices as appropriate. Oversee the process for the physical collation and preparation of agendas and papers for the Board and Board Committees, including reviewing of board papers and rejecting Board papers that are not up to standard and to help/require colleagues to resubmit them. Updating of the Directors website as appropriate. This includes the preparation and publication of electronic Board packs. Formal decision record keeping and minute taking of company Executive (DCE) team meetings and some Board committee meetings including tracking and chasing of actions. Assistance with drafting of the Annual Report and other corporate reports and communications. Recording and monitoring of all Directors expense claims. Work with HR to ensure Directors appointments are documented and fees processed appropriately. Membership Relations: Assist in ensuring all Membership governance requirements are complied with effectively and timely Supporting the General Counsel in responding to queries raised by Members and dealing with related administrative actions Provide assistance to the Membership Selection Panel as requested, in particular when recruitment of new members is taking place.
